About NPEX

NPEX, short for Nederlandsche Participatie Exchange, is a Dutch stock exchange platform designed to facilitate investment in small and medium-sized enterprises (SMEs). What are risks when investing on NPEX?

Investing on NPEX, like any investment platform, comes with several key risks:

  1. Business Failure Risk: Many of the companies listed on NPEX are SMEs, which inherently carry a higher risk of business failure compared to larger, more established companies. Investors have reported significant losses due to high rates of business failures among NPEX-listed companies.

  2. Liquidity Risk: The secondary market on NPEX may have limited activity, making it difficult to sell shares or bonds quickly at a fair price. This lack of liquidity can result in prolonged periods where funds are tied up and cannot be accessed easily.​

  3. Credit Risk: For bond investments, there's a risk that the issuing company might default on its interest or principal payments. The relatively high interest rates offered by some bonds (5% to 10% per year) reflect this higher risk of default​

What investment types does NPEX offer?

The NPEX platform offers two main types of investments: equity and debt. Investors can buy shares and bonds directly from SMEs, which are tradable on the NPEX stock exchange. Bonds offered on the platform often come with attractive interest rates, typically ranging from 5% to 10% per year​ ​. As of recent reports, NPEX has facilitated over €170 million in funding for Dutch SMEs through various issues of shares and bonds​

NPEX Account: Free

Cash withdrawal/deposit: Free

Registration fee for issue:
1% – once per issue, unless a different rate is explicitly stated
0,5% – once per issue for subscriptions to share certificates from €500.000

Service fee: Monthly 0,05% / annually 0,6%*

Conversion costs: €5 plus 1% of the value of the convertible securities with a maximum of €1.000**

Exercising option rights: €5 plus 1% of the value upon exercise of the securities to be acquired with a maximum of €1.000**

NPEX stock exchange transaction fees: 0,5% per transaction***

* Rates applicable to new issues from September 1, 2016 on bonds and (certificates of) cumulative preference shares.

** Rates applicable to new issues from January 1, 2021. Costs are per conversion transaction for convertible bonds or exercise of warrants.

*** Not applicable to open-end funds; trading is free of charge. As of April 3, 4, the minimum amount of € 2023 per transaction has expired.
